GENERAL TERMS AND CONDITIONS

I Services

1. Our services include translations and word processing as well as a
miscellany of activities related thereto.
2. Translations will be undertaken to the best of our knowledge and carried
out within the shortest possible period of time. Unless we are provided
with special instructions or comparable material, technical terms will be
translated in a generally acceptable manner. If the client requires
specific terminology to be used, particularly those preferably used within
his/her company, this must be specifically mentioned when granting the
assignment. A list of preferential terminology must be made available to
us.
3. All assignments will be treated with the utmost confidentiality. We
shall emphatically exercise absolute secrecy at all times. If a client
requires documentation to be kept in a safe, he must specifically request
this. The same applies to the submission of documents whether translated or
not, by means of registered or insured letters, etc.
4. We maintain the right to request the client for an explanation of
statements or passages of texts which have been submitted for translation,
although we are not obliged hereto. Our obligation to compliance will be
considered wholly satisfactory if the translation is undertaken with
adequate care and attention, taking the meaning into consideration as we
perceive it to be, to the best of our knowledge and in accordance with the
general comprehension of the language. All texts submitted for translation
should therefore be written in accordance with the generally accepted rules
of modern spelling and punctuation. They may only contain clearly
understandable, unambiguous words and definitions, i.e. which can be
understood by people who are not in the client's employ.
5. Word processing, typography, text corrections and proof reading, etc.
will be undertaken to the best of our knowledge and carried out in the
shortest possible period of time. Unless we are provided with special
instructions or comparable material, the text will be made up in the same
format and typeface as that of the original document. If the client
requires the use of specific software, typefaces, paper sizes, etc., he
must emphatically make mention hereof when granting the assignment.
II Costs

1. Translations, word processing and related costs such as postage,
photocopying and travel expenses will be charged in accordance with our
price list as applicable on the day of the assignment. External translation
work, e.g. work undertaken at the client's premises, will be charged at a
daily shift rate.
2. For translations the price is calculated per word. Rates are dependent
on the language of the source text and the target text. For texts which are
delivered by e-mail the number of words in the source text will be counted
for the costs calculation. For texts which are delivered on paper the
number of words in the target text will be counted for the costs
calculation. For activities such as corrections and proofreading we charge
an hourly tariff.
3. If required, we will draw up an estimate of the costs. Such estimate can
merely be considered as a rough calculation.
4. If an assignment is recalled, then the section of work which has been
completed up to that point as well as the expenses incurred until the point
of recalling must be compensated.
III Liability

1. We do not accept any liability for translation errors caused due to
incorrect or incomplete information, nor for inadequate or illegible texts
in the source document. Furthermore, no liability can be accepted for
telephonically supplied information.
2. The client shall fully indemnify us against any liability regarding
infringement of existing copyright of the source document.
3. We cannot be held liable for non-delivery or delivery outside of the
agreed time, nor for the loss of texts and documents entrusted in us, if
such is caused by circumstances beyond our control.
4. If the client has any complaints about the work delivered, we still have
the right to bring about corrections within a reasonable period of time.
Complaints must be submitted within one week after delivery of the
assignment. If the client does not submit alleged errors for correction
then he is not entitled to discount the charges or to refuse payment.
5. The very latest delivery date of the work shall be obligatory in the
first instance by means of a written confirmation by us. This date can only
be exceeded by the duration of faults caused by force majeure or other
circumstances which are beyond our control.
If delivery does not take place within the set period, the client is
obliged to accept and to pay for that portion of the translation which has
been completed. No further obligations will exist towards each other after
payment has been made.
6. Liability for inaccuracies with regard to the actual content of the
linguistic aspects of a translation carried out by us can only been accepted
if we are provided with a printer's proof prior to such text being printed.

2. Unless otherwise agreed, payment will be made within 14 days of the
invoice date. If the term of payment is exceeded, we shall be entitled to
charge the statutory interest rate and possible collection charges.
V Other conditions

1. Dutch law shall be applicable in all disputes which
arise from the assignment, or which arise from the undertaking thereof and
from obligations vested in one or both parties and from the compliance
thereto.
2. In the case of invalidation of one or more of the
terms and conditions mentioned above, all remaining conditions will remain
unimpaired.
3. All disputes arising from this agreement shall be
put before the court of law in Amsterdam.
